Terms of Service

1. AI disclaimer

Orkas runs agents that produce text, code, images, and other AI-generated output ("Output"). AI systems are based on probabilistic models and machine learning, and the field is evolving. Before you use the Service, you need to understand a few things:

1.1 You are interacting with AI

The agents are not human. Their reasoning can be wrong, incomplete, or biased even when the answer is presented confidently. To the extent permitted by applicable law, we are not responsible for misunderstandings, omissions, or errors that result from AI behavior.

1.2 You are responsible for reviewing Output

You are responsible for independently reviewing every Output before you rely on or distribute it. You should apply your own judgment, especially for consequential decisions and especially when an agent has taken actions (file writes, sending an email, posting to a channel, calling an API) on your behalf. Decisions, actions, and omissions based on Output are yours.

1.3 Limits of AI

Output may contain factual errors, fabricated references, or stale information. AI may miss nuance, slang, or cultural context. AI cannot feel, intend, or guarantee correctness. Do not treat Output as professional medical, legal, financial, or other advice without verification by a qualified human professional.

2. Acceptance of these Terms

These Terms of Service ("Terms") govern your use of Orkas — the Orkas desktop application distributed through our website, our website itself, and the account, sync, managed AI/tool, connector, and billing services that support them (together, the "Service"). By installing, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. About the service

Orkas is a local-first multi-agent AI desktop client with an accompanying website. The current public desktop release does not enable the iOS remote-control relay. You may use language-model and tool providers you connect using your own credentials, with direct calls going from your computer to the provider. You may also choose Orkas-managed model, search, image, video, voice, speech, connector, sync, marketplace, and billing features, which are provided through Orkas servers and upstream providers.

4. Eligibility

You must be at least 13 years old, and the minimum age required by your jurisdiction, to use the Service. If you are under the age of majority in your jurisdiction, you must have your parent or legal guardian's permission. The Service is not intended for users who are barred from receiving it under the laws of their jurisdiction or under any applicable export-control or sanctions regime.

5. Your account

You need an account to use the Service. To create an account, you sign in with one of the supported login methods shown in the product, which may include OAuth providers such as Google or phone-code login where available. You are responsible for keeping your sign-in credentials and devices secure, for following the terms of the identity provider or phone number you use, and for the activity that occurs under your account. Notify us at [email protected] if you believe your account has been compromised. We may suspend or close accounts that we reasonably believe to be fraudulent or in material breach of these Terms. We may also close accounts that have remained inactive (no sign-in) for 12 or more consecutive months, after giving you reasonable advance notice by email.

6. Acceptable use

You agree not to use the Service to:

• Violate applicable law or third-party rights, including privacy, intellectual-property, export-control, and sanctions law.
• Generate or distribute illegal content, including content that sexually exploits minors, incites or facilitates violence or serious harm, or constitutes harassment or hate speech.
• Generate deceptive material designed to defraud, impersonate another person, or manipulate elections or other public processes.
• Send unsolicited bulk communications ("spam"), phishing messages, or malware.
• Attempt to gain unauthorized access to any system or to other users' data; probe, scan, or test the security of the Service except as expressly authorized by us in writing.
• Reverse engineer, decompile, or attempt to extract the source code of components that are not made available under an open-source license (this clause does not restrict your rights under an open-source license that covers our source code).
• Interfere with, disrupt, or impose an unreasonable load on the Service or its infrastructure.
• Misrepresent your identity, your relationship to Orkas, or the origin of content generated with the Service.

We may suspend or terminate access for users who violate these rules.

7. Your content

You retain all rights in the content you create or process with Orkas — prompts, attachments, agent and skill configurations, Output, and anything you bring in from third-party services you connect. Orkas does not claim ownership of your content.

To operate the Service, you grant Orkas a limited, non-exclusive, royalty-free license to host, store, transmit, process, display, and reproduce your content solely as needed to provide features you choose, including sync, managed AI/tool requests, managed connector requests, support, routine backups, security, abuse prevention, billing, and compliance with applicable law. If a future release offers an iOS relay and you enable it, this license also covers the relay data needed to provide that feature. We do not use your content to train AI models. We do not use it for advertising. We do not share it with any third party except as described in the Privacy Policy.

You are responsible for ensuring that you have the rights to the content you upload, sync, or otherwise process through the Service.

8. Third-party services

Orkas integrates with third-party services that you bring or choose through the product — including language-model providers, tool integrations, payment processors, SMS providers, managed connector providers, and upstream providers used by Orkas-managed AI, search, media, speech, and connector features. Your use of those services is governed by their respective terms and privacy policies. Orkas is not responsible for the availability, accuracy, or content of any third-party service, and is not a party to your agreement with the third-party provider except where Orkas directly sells you a plan or credit pack.

When you connect a third-party service through Orkas, you authorize Orkas, the desktop client, and any managed connector provider used for that connector to act on your behalf against that service within the scopes you grant. You can revoke that authorization at any time from Settings → Connectors in the desktop client, and from the provider's own account-permissions page.

9. Plans, fees, and billing

Orkas offers a Free plan, one or more paid plans, and may offer credit packs. The features, usage limits, sync quota, monthly credits, lifetime credits, and other quotas available under each plan or credit pack are presented in the product or on our website at the time you choose them, and may change from time to time.

Where pricing, billing cycle, automatic renewal, taxes, credits, or any additional terms apply to a paid plan or credit pack, those will be presented to you before purchase and incorporated into these Terms by reference. Refunds are governed by §10. Unless otherwise stated, paid subscriptions renew automatically at the end of each billing cycle at the then-current price; you can turn off automatic renewal or cancel at any time, and cancellation takes effect at the end of the then-current billing cycle. We may change pricing, credit pricing, or plan features going forward; changes will not take effect for your current paid billing cycle.

Orkas credits may be consumed by Orkas-managed features such as managed models, search, image, video, voice, speech, and metered managed connectors. Monthly credits may expire or refresh according to the plan terms shown to you. One-time or lifetime credits are subject to the terms shown at purchase.

You are solely responsible for fees charged by third-party services you connect directly through Orkas, including the API costs of any language-model provider whose key you configure. Orkas does not bill you for, and is not responsible for, those direct third-party fees.

10. Refund policy

Paid plans may begin with a free trial period that lets you evaluate the Service before any charge. You may cancel at any time during the trial at no cost, and no further billing will occur. Once your trial converts to a paid subscription — that is, the first time we charge your payment method — all subscription fees are non-refundable. This includes pro-rated portions of the current billing period after cancellation, features you did not use, credits you did not use, and downgrades to a lower plan. Cancelling a paid plan (see §9) stops future billing but does not retroactively refund the period already in progress. Credit packs are final once delivered to your account, except where applicable law requires otherwise or we expressly state a different refund rule at purchase.

If you are a consumer in the European Union, the European Economic Area, or the United Kingdom, applicable consumer-protection law grants you a 14-day right to withdraw from a digital-services purchase. Where a free trial is offered, it gives you access to the Service before any charge, and choosing to continue past the trial is an express request from you that performance begin and an acknowledgement that the right of withdrawal does not apply to performance you have already requested and received. To exercise the withdrawal right where it does apply, email [email protected] within 14 days of conversion with the subject "Withdrawal request" and your order details.

If you subscribe through a third-party app store (such as the Apple App Store or Google Play), refund eligibility and processing are governed by the store's own policy, not by these Terms. Submit such refund requests to the store directly.

For all other refund requests — including those required by the consumer-protection law of your jurisdiction — email [email protected] with your order details and the reason. We respond within 30 days. Approved refunds are issued through the original payment method.

11. Intellectual property

Apart from the parts of the source code released under an open-source license, all rights in the Orkas service — including the Orkas name and logo, our website, our trademarks, and the proprietary parts of our backend — belong to us. Nothing in these Terms grants you any right to use Orkas trademarks except as expressly permitted by us in writing or by an applicable open-source license. Feedback you provide about the Service is non-confidential, and you grant us a perpetual, royalty-free license to use it without restriction.

12. Copyright complaints

If you believe content available through the Service infringes your copyright, send a notice to [email protected] that includes: (a) your contact information; (b) a description of the copyrighted work and where the allegedly infringing content appears; (c) a good-faith statement that the use is not authorized by the copyright owner or by law and that the information in the notice is accurate; and (d) your signature (physical or electronic). We will remove or disable access to material we determine in good faith to be infringing, and we may terminate accounts of repeat infringers.

If you are filing this notice under the U.S. Digital Millennium Copyright Act (DMCA), the statement under (c) must be made under penalty of perjury and must confirm that you are authorized to act on behalf of the copyright owner.

This procedure also satisfies the notice-and-takedown requirements under Articles 14–17 of China's Regulations on Protection of the Right of Communication of Information through Network.

13. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted, secure, or error-free. Orkas does not warrant the accuracy, completeness, reliability, or appropriateness of any Output for any particular purpose. You use the Service at your own risk.

14. Limitation of liability

To the maximum extent permitted by law, Orkas will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, business opportunities, or goodwill, arising out of or related to your use of the Service. In no event will our aggregate liability for any claim arising out of or related to the Service exceed the greater of (a) the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim, or (b) USD 100.

Some jurisdictions do not allow certain limitations of liability; in those jurisdictions our liability is limited to the maximum extent permitted by law.

15. Indemnification

To the extent permitted by applicable law, you will defend, indemnify, and hold harmless Orkas from and against any claims, liabilities, damages, and costs (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) your content, or (c) your infringement of any third-party right.

16. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service if you materially breach these Terms, if required by law, or if continued provision creates undue risk for us or other users. Sections that by their nature should survive termination — including content ownership, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

17. Changes

We may update the Service and these Terms from time to time. Material changes to the Terms will be posted on this page with a revised "Last updated" date and, where required by law, with additional notice. Continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree, stop using the Service.

18. Governing law and disputes

These Terms are governed by the laws of the People's Republic of China, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be submitted to the courts having jurisdiction over the registered address of the Orkas operating entity in mainland China. This choice does not deprive you of any mandatory consumer-protection rights you have in your country of residence.

19. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy and any additional terms presented to you for a specific feature or plan, are the entire agreement between you and Orkas with respect to the Service.
• Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Notices. We may provide notices to you by email, by posting on this page, or in the desktop client. You may contact us at [email protected].
• No third-party beneficiaries. These Terms do not create rights for any third party except as expressly stated.
• Force majeure. Neither party is liable for delay or failure caused by events outside its reasonable control.
